Welcome to Chorus Audio. These Terms of Use (“Terms”) govern your access to and use of our websites, products, services, and applications (together, the “Services”). Please read them carefully before using our Services.

By using our Services in any way, you agree to these Terms, which form a binding agreement between you and Midcentury Labs Inc. (“Chorus Audio,” “we,” “our,” or “us”). These Terms also incorporate our Privacy Policy and any other rules or conditions we may provide for specific features of our Services (“Additional Terms”). If you use or participate in those features, you also agree to comply with the Additional Terms.
If you do not agree to these Terms, you may not use or access our Services.
1. Updates to These Terms
We may revise these Terms as our Services evolve. If we make material changes, we will notify you by posting updates on our website, sending an email, or by other appropriate means.
If you don’t agree with the revised Terms, you must stop using the Services. Continued use after changes take effect means you accept the updated Terms.
2. Privacy

3. Eligibility and Account Basics
- You may need to create an account and choose a username and password (“User ID”) to use certain features.
- You must provide accurate, complete, and current information when registering.
- You may not use someone else’s name or impersonate another person.

- If accessing through a third-party account (e.g., Google), you allow us to receive certain information from that account consistent with your privacy settings.
- You must be at least the legal age to form a binding contract (or have parental consent if younger).
You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.
4. Acceptable Use
You agree not to:
- Violate any laws or third-party rights (including intellectual property rights).
- Post unlawful, harmful, defamatory, obscene, fraudulent, or otherwise objectionable content.
- Attempt to hack, decompile, or interfere with the Services.
- Use automated systems (e.g., scrapers, bots, spam tools) to access or disrupt the Services.
- Share your account credentials or allow others to use your account.
We may suspend or terminate your access if you violate these Terms.
5. Your Content (User Submissions)
Any content you post, upload, or provide through the Services (“User Submissions”) remains yours, but you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, adapt, distribute, and display it in connection with our Services.
If your User Submissions are made publicly available, other users may also access and use them under a non-exclusive license.
You are responsible for ensuring you have the necessary rights to grant these licenses, and you may not post content that infringes others’ rights, promotes fraud, depicts unlawful activity, or violates these Terms.
6. Copyright Complaints (DMCA)
We respect intellectual property rights and comply with the U.S. Digital Millennium Copyright Act (“DMCA”). If you believe material on our Services infringes your copyright, you may send a notice to our designated DMCA agent at:

Your notice must include:
- Your signature (physical or electronic)
- Identification of the copyrighted work claimed to be infringed
- Identification of the infringing material and its location

- A statement, under penalty of perjury, that your notice is accurate
We may remove or restrict access to the content and take appropriate action against repeat offenders.
7. Payments
Some Services may require payment (“Paid Services”) or provide compensation to contributors. Payments are processed through a third-party provider, currently Dots by Divisible, Inc. Your use of Paid Services is subject to both these Terms and the payment processor’s terms and privacy policy.
You must keep your billing or payout information accurate and up to date. We are not responsible for errors or issues caused by the payment processor.
8. Termination and Account Closure / Opt-Out
You may stop using our Services at any time. You may also request closure of your account or opt out of further use of the Services at any time by writing to us at support@midcentury.xyz .
We may suspend or terminate your account or access to Services if you violate these Terms or for other reasons at our discretion.
Some obligations survive termination, including those relating to intellectual property, limitation of liability, and dispute resolution.
9. Mobile Applications
If you download our apps through a third-party store (e.g., Apple App Store, Google Play), your use is subject to both these Terms and the applicable store’s terms. Apple and Google are not responsible for providing support or handling disputes relating to our apps.
10. Disclaimer of Warranties
Our Services and content are provided “AS IS” without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or non-infringement. We do not guarantee that the Services will be uninterrupted or error-free.
11. Limitation of Liability
To the fullest extent permitted by law, Midcentury Labs Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total liability in any case will not exceed the greater of $100 or the amounts you paid to us in the prior 12 months.
12. Indemnification
You agree to indemnify and hold harmless Midcentury Labs Inc., its officers, employees, and affiliates from claims, damages, and expenses (including legal fees) arising from your use of the Services or your violation of these Terms.
13. Governing Law and Arbitration
These Terms are governed by U.S. federal law and the laws of the State of New York.
Disputes must first be attempted to be resolved through good-faith negotiation. If unresolved, disputes will be settled by binding arbitration in New York, NY under JAMS rules. Arbitration will be conducted in English before one arbitrator.
You waive the right to jury trial and agree that disputes must be resolved individually and not as part of a class action.
14. Miscellaneous
- You may not transfer or assign your rights under these Terms without our consent.
- If any provision is found invalid, the rest remain enforceable.
- These Terms represent the entire agreement between you and us regarding the Services.
